That, for the purposes of rule 7(c) of the Takeovers Code, the acquisition of
6,991,166 ordinary shares in Winton by Perpetual Corporate Trust Limited as
custodian for TC Akarua 2 Pty Ltd as trustee of the TC Akarua Sub Trust
pursuant to an agreement for sale and purchase of shares in Winton is
approved.
Refer to the Independent Adviser’s Report issued by Simmons Corporate
Finance Limited as attached to the Notice of Special Meeting dated 22
December 2023.
All members of the Board who are not connected with either Akarua or
Wanaka Partners (as those terms are defined in the Notice of Special Meeting
dated 22 December 2023) recommend that shareholders vote in favour of this
resolution.
