Scheme (“Scheme”).

Each PSR is issued pursuant to the
Scheme. The employees will receive one
share for each PSR that vests (rounded to
the nearest share if the number of shares
to be received is not a whole number).
PSRs will vest if GXH meets certain
performance hurdles relating to the growth
of GXH’s earnings per share and return on
capital employed over a period of three
years (the “PSR Period”), and the
employee remains employed by GXH for
the duration of the PSR Period.
