Results of Annual Shareholder Meeting
At Solution Dynamics (SDL) annual shareholder meeting, held as a hybrid meeting (virtual
and in-person) today, shareholders were asked to vote on 3 resolutions, which were supported by
the Board.
As required by NZX Listing Rule 6.1, all voting was conducted by a poll.
The resolutions passed by shareholders were:
Ordinary business
1. That the board is authorised to fix the remuneration of Grant Thornton as the Company’s auditors.
2. That Mr Julian Beavis who is retiring by rotation as required by Listing Rule 2.7.1 of the NZX Listing Rules
and in accordance with the Company’s constitution, and being eligible, be re-elected as a director of the
Company.
3. That Mr Andy Preece who is retiring by rotation as required by Listing Rule 2.7.1 of the NZX Listing Rules
and in accordance with the Company’s constitution, and being eligible, be re-elected as a director of the
Company.
