Pacific Edge Limited – Independent Director Determination
As required by NZX Listing Rule 2.6.1 and 2.6.2, the Board of Pacific Edge Limited has
determined that Simon Richard Flood is an Independent Director for the purposes of the NZX
Listing Rules.
Background
Simon Richard Flood was appointed to the Board on 4 December 2025. The Board has
considered the range of factors outlined in the NZX Corporate Governance Code (including
any interests, relationships, or positions that could reasonably influence the Director’s ability to
act independently).
In the Board’s judgment, there are no relationships or interests that materially compromise or
could reasonably be perceived to compromise the Director’s independence. Accordingly,
Simon Richard Flood is classified as an Independent Director under the NZX Listing Rules.
