Results of My Food Bag Group Limited Annual Shareholders' Meeting
At My Food Bag Group Limited’s annual shareholder meeting, held online today, shareholders were asked
to vote on three resolutions, which were supported by the Board.
As required by NZX Listing Rule 6.1, all voting was conducted by a poll.
The resolutions passed by shareholders were:
That Tony Carter, who retires at the annual meeting and is eligible for re-election, be re-elected as
a Director of My Food Bag.
That Cecilia Robinson, who has been nominated and is eligible for election, be elected as a Director
of My Food Bag.
That the Directors of My Food Bag be authorised to fix the fees and expenses of the auditor of My
Food Bag for the ensuing year.

For the purposes of NZX Listing Rule 2.6.1, the Board has determined that Cecilia Robinson is a non-
independent director at this time having had regard to the non-exhaustive factors set out in the NZX
Corporate Governance Code and Cecilia’s long association with My Food Bag, including as co-founder.
