CDI AUDIT COMMITTEE MEMBERSHIP UPDATE

CDL Investments New Zealand Limited (“CDI”) announces that effective from 5 February 2026
Independent Director, Julian Smith will join the Audit Committee, and Eik Sheng Kwek will step down
from the Audit Committee.

Following these changes, CDI confirms that the Audit Committee remains compliant with the
requirements of NZX Listing Rule 2.13 and the Corporate Governance Code.

The Audit Committee will comprise three Independent Directors, including one with accounting and
financial expertise:

• Janie Elrick, Independent Director and Chair of the Committee
• Desleigh Jameson, Independent Director
• Julian Smith, Independent Director
